Permit me to clarify after consulting our university counsel my somewhat hasty earlier remarks: [The last sentence in the paragraph] is intended to help, but as a practical matter, it would still be an issue that would probably be litigated if we went to court over something else. [Counsel] would feel more comfortable having the other party agree up front that [the University of Florida] can't contractually agree to be governed by Massachusetts law. John E. They are asking all to accept Massachusetts law and venue as stated below. They said the second statement should make this acceptable. This Agreement shall be construed and enforced in accordance with the laws of the Commonwealth of Massachusetts, United States of America, without regard to its conflict of laws rules. Any controversy arising out of or relating to this Agreement shall be brought to the federal or state courts located in Massachusetts, and the parties hereby consent to the jurisdiction of such courts. The foregoing choice of law and forum designation will not apply if compliance would violate any existing law, regulation, bylaw, or equivalent governing instrument of Licensee.
