Has anyone recently come across licenses with choice of law clauses that point to either Virginia or Maryland (the two states that have passed UCITA to date)? I think this is an issue that warrants attention because it would be a way for vendors to extend the territorial reach of UCITA beyond the states that have passed it. I would like to make the argument that the type of provision recently passed in Iowa (a temporary measure that makes such choice of law provisions voidable) should be considered in other states.
