In the UK, the Publishers Association and the universities' Joint Information Systems Committee set up a number of working parties to look at particularly difficult aspects of electronic publishing. One of these groups has just finalised a model licence, which they hope that publishers and libraries will use at least as a framework, source of wording and source of definitions for their own licences. It will be used as the basis for the National Electronic Site Licence next year. A copy of the final version is now available on the LIBLICENSE website: http://www.library.yale.edu/~llicense/pajisc21.html and the working group would be very interested in comments or questions about it.
